These Terms of Service ("Terms") govern your access to and use of https://www.superiorpmllc.com (the "Site"), which is owned and operated by Superior Precision Machining ("SPM," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1. Eligibility and acceptable use
You must be at least 18 years old and able to enter into a binding agreement to use the Site. If you use the Site for an organization, you represent that you have authority to act for that organization.
You may not:
- Use the Site in violation of any law or third-party right.
- Attempt to gain unauthorized access to the Site, another account, or connected systems.
- Interfere with Site operation, introduce malicious code, scrape the Site at unreasonable volume, or evade security controls.
- Misrepresent your identity, affiliation, authority, or the origin of information you submit.
2. Site information
Site content is provided for general informational purposes. Equipment, capabilities, certifications, lead times, materials, tolerances, and availability may change. Site content is not a manufacturing specification, engineering recommendation, inspection plan, binding quote, or guarantee that we can produce a particular part.
You are responsible for independently evaluating whether information on the Site is suitable for your needs. We may correct, update, remove, or change Site content at any time without notice.
3. Quote requests and manufacturing services
A website submission or other inquiry is a request for review only. It does not create a customer relationship, reserve capacity, constitute acceptance of a purchase order, or obligate either party to proceed. Any quote is subject to its stated assumptions, scope, validity period, and separate commercial terms.
Manufacturing work begins only after the parties complete the required review and accept the applicable written terms. Customer purchase-order language does not modify our terms unless expressly accepted by an authorized SPM representative in writing.
4. Technical files and export-controlled information
Do not submit export-controlled, classified, regulated, or other highly sensitive technical data through the general website form. Contact us first so we can confirm an appropriate review and exchange method.
By submitting any drawing, specification, model, image, or other material, you represent that you have the right and authority to provide it for the requested purpose and that doing so complies with applicable export-control, sanctions, privacy, intellectual-property, and other laws. You remain responsible for identifying applicable data-handling or regulatory requirements before disclosure.
5. Intellectual property
The Site and its design, text, graphics, photographs, logos, and other content are owned by or licensed to SPM and are protected by applicable intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for legitimate personal or business evaluation purposes.
Except as permitted by law or with our written authorization, you may not copy, modify, distribute, publish, sell, license, create derivative works from, or commercially exploit Site content. SPM does not claim ownership of customer technical files merely because they are submitted for evaluation. Any rights and confidentiality obligations concerning customer materials are governed by applicable separate agreements and law.
6. Communications and text messages
When you contact us, you authorize us to respond using the contact information you provide. If you separately consent to text messages, those messages may include quote follow-up, project coordination, and customer support. Consent to texts is not a condition of purchasing services.
- Message frequency varies. Message and data rates may apply.
- Reply "STOP" or otherwise clearly ask us to stop to revoke text-message consent. We may send one final confirmation message.
- Reply "HELP," call (510) 565-6461, or email vuong.duong@superiorpmllc.com for assistance.
- Wireless carriers are not liable for delayed or undelivered messages.
We do not share mobile numbers or text-message opt-in information with third parties or affiliates for their own marketing or promotional purposes. See our Privacy Policy for more information.
7. Third-party websites and services
The Site may link to or rely on third-party websites and services. We do not control and are not responsible for third-party content, availability, security, products, or privacy practices. A link does not imply endorsement.
8. Disclaimers
To the fullest extent permitted by law, the Site and its content are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of accuracy, availability, merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free.
These disclaimers apply to the Site and do not replace any express warranty contained in a separate written agreement governing actual manufacturing services.
9. Limitation of liability
To the fullest extent permitted by law, SPM and its owners, officers, employees, agents, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunity, arising from or related to the Site or these Terms.
To the fullest extent permitted by law, our total liability for claims arising from or related to the Site or these Terms will not exceed one hundred U.S. dollars ($100). Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you. Separate agreements may establish different limits for manufacturing services.
10. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless SPM and its owners, officers, employees, and agents from claims, losses, liabilities, and reasonable costs arising from your unlawful use of the Site, your breach of these Terms, or materials you submit in violation of another party's rights or applicable law.
11. Suspension and termination
We may restrict or terminate access to the Site if we reasonably believe a user has violated these Terms, created risk or legal exposure, or interfered with Site operation. Provisions that by their nature should survive termination will survive, including intellectual-property, disclaimer, limitation, indemnification, and governing-law provisions.
12. Governing law and venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Unless applicable law requires otherwise, disputes arising from the Site or these Terms will be brought in the state or federal courts located in Alameda County, California, and each party consents to their jurisdiction and venue.
13. Changes to these Terms
We may update these Terms from time to time. The effective date at the top of the page identifies the current version. Your continued use of the Site after updated Terms are posted means you accept the updated Terms.
14. General terms
If a provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a reorganization, merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy, are the entire agreement concerning use of the Site, subject to any separate agreement described above.
